ACCEPTANCE OF TERMS
Dynamic Women’s Professional Network, Inc., an Illinois corporation (“DPWN”), makes this website (the “Site”), including all Content and Services (as such terms defined below) available for your use subject to the terms and conditions set forth in this agreement and any changes that DPWN may publish from time to time (collectively, the “Terms of Use”).
The Terms of Use include any posted guidelines or rules applicable to particular Content or Services (as such terms are defined below). DPWN reserves the right to change the Terms of Use and other guidelines or rules posted on the Site from time to time at its sole discretion.
By using this Site, you: (i) agree to be bound by the Terms of Use as they may be amended or supplemented from time to time; (ii) represent and warrant that you are at least18 years of age; and (iii) further represent and warrant that you have the legal authority to accept and agree to these Terms of Use.
If you do not agree to the Terms of Use you are not authorized to use this Site. If you breach any of the Terms of Use, your authorization to use this Site automatically terminates.
ACCESS AND USE
Use of all areas of this Site is voluntary. Access to certain portions of this Site requires registration and payment (see payment terms below). The login and password you are provided upon registration and payment are for your use only and are not transferable. You may cancel your login account at any time by contacting DPWN, but fees are not refundable, in whole or in part, due to your cancelation or any termination of your use for any reason.
If you choose to register as a registered user, you agree that you will be responsible for maintaining your password as confidential and further agree that you are responsible for enabling or permitting another person to use your login or password. You agree to immediately notify DPWN in the event that (i) your login or password are lost or stolen, or (ii) you become aware of any unauthorized use of your login and password. Misuse of a login account, including, without limitation, unauthorized sharing of a login and password, may result in immediate termination of your use of this Site, cancellation of your account and other remedies all in DPWN’s sole discretion.
If you have obtained a login and password that belong to another person, you are not authorized to use that login account and we request that you notify DPWN of the improperly disclosed login account information.
CONTENT AND SERVICES
This Site may provide certain content (including all information, documents, communications, files, text, graphics, software, advertisements, and products) (the “Content”) and certain services operated by DPWN and third parties (the “Services”), which Content and Services may be updated from time to time.
The Content and Services offered on this Site are solely to allow users and registered users to contact and network with other users, registered users and DPWN. The ability to transmit Content through this Site is provided to allow users and registered users to use these features solely for that features’ intended purposes. The ability to post Content through this Site is provided to allow registered users to share ideas and information of interest. DPWN cannot monitor all Content posted or transmitted by users and registered users. You are advised to use your best judgment when choosing to participate in any sharing activity on this Site. You agree to be bound by the Privacy Policy (see below) prior to posting or disclosing any information on this Site. Please immediately contact DPWN to request removal of any Content that appears to be inappropriate for display on this Site for any reason.
USER CONDUCT
If you chose to use this Site, you are responsible for all Content that you upload, post, email, or otherwise transmit. You are also responsible for recognizing and respecting the rights of DPWN and third parties’ rights with respect to Content that appears on this Site. Post, email, upload or otherwise transmit any unsolicited or unauthorized advertising, promotional materials which are objectionable to a reasonable registered user (e.g. “Spam”, “Junk Mail”, chain letters, or any other potentially objectionable form of unsolicited communication); or
Disrupt or interfere with the security of, or otherwise cause harm to, the Site, or any Services, Content, system resources, accounts, passwords, servers, or networks connected to or accessible through the Site or any affiliated or linked sites; or
Disrupt or interfere with any other user’s enjoyment of the Site or affiliated or linked sites; or
Create a false identity, misrepresent your identity, impersonate another person or entity, falsely represent your affiliation with another person or entity (including, without limitation, DPWN); or
Access or attempt to access any Content or Services which you are not authorized to access; or

Post, email, upload or otherwise transmit without authorization any material that contains personal or private information concerning any person or entity, including without limitation, any phone numbers or addresses, credit/debit cards, calling cards, account numbers, social security numbers, passwords, or other similar information.
SUBMISSION OF CONTENT; LICENCSE TO DPWN
You may submit only Content to the Site that is: (i) owned by you; or (ii) submitted with the express permission of the owner or within the scope of the license to such content; or (iii) in the public domain.
By submitting Content to this Site you grant DPWN one of the following types of licenses:
Submitted Content that is the result of your creative efforts and which is intended to be displayed on the Site, you grant DPWN a worldwide, royalty-free, non-exclusive license to modify (for purposes of formatting, maintenance, or Site administration only) and reproduce such Content. You also grant DPWN the right to distribute and publicly display and perform such submitted Content for the purpose for which such Content was submitted to the Site. This license will be in effect until such User Content is removed from the Site.

INDEMNITY AND LIABILITY
You agree to indemnify and hold DPWN, and its subsidiaries, affiliates, officers, directors, agents, partners and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content of any kind that you submit, upload to, post to, or transmit through the Site (including, without limitation, any Content or computer viruses), your use of the Site, your connection to the Site, your violation of these Terms of Use, or your violation of any rights of another person or entity.
GOVERNING LAW AND JURISDICTION
This Site (excluding linked sites) is controlled by DPWN from its offices within the state of Illinois, USA. By accessing this Site, you and DPWN agree that all matters relating to your access to, or use of, this Site shall be governed by the statutes and laws of the State of Illinois (except its conflicts of laws rules). You and DPWN also agree and hereby submit to the exclusive personal jurisdiction and venue of the Courts within the State of Illinois with respect to such matters.
GENERAL
The Terms of Use and the other rules, guidelines, licenses and disclaimers posted on the Site constitute the entire agreement between DPWN and you with respect to your use of the Site. If for any reason a court of competent jurisdiction finds any provision of these Terms of Use, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties as reflected by that provision, and the remainder of the Terms of Use shall continue in full force and effect. Any failure by DPWN to enforce or exercise any provision of these Terms of Use or related right shall not constitute a waiver of that right or provision.
USER FEES; AUTOMATIC BILLING AND CANCELLATION OF YOUR ACCOUNT
You understand and agree that you will be debited automatically from your credit card account for your registration user fees and you hereby authorize DPWN to debit those fees (i) for monthly subscribers, each month, in advance, in accordance with the billing schedule; or (ii) for annual subscribers, 2 days prior to your annual subscription renewal date.
You understand and agree that all debited prior to your cancellation, in accordance with the terms hereof, are non-refundable. All user fees properly debited prior to the day DPWN receives notice of cancellation will not be refunded, in whole or in part, even if DPWN terminates your use of the Site in accordance with the Terms of Use prior to the end of your subscription. You may cancel your registration and login account at any time; however, your cancellation shall be effective only upon receipt of your request to cancel by DPWN.
You may cancel your account by either (i) submitting your cancellation request on-line at: cancel@virtualcommunitycentral.com (ii) or by US mail at the following address: DPWN, 1879 N. Neltnor Blvd. #316, West Chicago, IL 60185. The date of cancellation shall be (i) for on-line cancellation requests, the first business day following submission of your on-line cancellation request; or (ii) for US mail cancellation requests, on the third business day following the date on which your cancellation request is post-marked by the US Postal Service.
